Dissolution & Liquidation

Closing a company takes 2 stages: registering the dissolution, then registering the completion of liquidation — plus clearing tax matters with the Revenue Department so nothing is left outstanding.

Good to know: The dissolution must be registered and published in a newspaper within 14 days of the resolution. If you are VAT-registered, you must also deregister with the Revenue Department.

Timeline: Dissolution registration takes 3–5 days; the full liquidation may take up to 2 years, depending on the officials' review | View prices →

Steps

1 Pass a dissolution resolution — Shareholders resolve to dissolve and appoint a liquidator (usually the existing authorized director).

2 Register the dissolution — We file the dissolution, publish the newspaper notice and notify creditors.

3 Close the accounts and taxes — Prepare financial statements as of the dissolution date, file taxes and cancel the VAT registration.

4 Register completion of liquidation — Once debts are settled and assets distributed, the business is fully closed.
